Please read these Terms and Conditions carefully before using the smartBook platform. By accessing or using our services, you agree to be bound by these terms.

1. Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and smartBook Technologies LLC, an Illinois limited liability company ("smartBook," "we," "us," or "our"), governing your access to and use of the websites located at mysmartbook.com and mysmartbookhome.com, including all associated software, applications, content, and services (collectively, the "Platform").

By accessing or using the Platform in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Platform.

2. Description of Service

smartBook Technologies LLC provides a web-based platform offering two primary product lines: a commercial lease book and asset management solution for real estate professionals, and a home inventory and asset tracking solution for residential users. The Platform may include features such as:

  • Document management tools
  • Reporting and analytics
  • Multi-user collaboration

Residential - mysmartbookhome.com

  • Home asset and inventory tracking
  • Warranty and purchase records
  • Room-by-room organization
  • Document and photo storage
  • Insurance-ready reporting

We reserve the right to modify, suspend, or discontinue any part of the Platform at any time, with or without notice. References to the "Platform" in these Terms apply equally to both product lines unless otherwise specified.

3. Eligibility

The Platform is intended for use by individuals who are at least 18 years of age and have the legal capacity to enter into binding agreements. By using the Platform, you represent and warrant that you meet these requirements.

If you are accessing the Platform on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms, and references to "you" shall refer to both you individually and that entity.

4. User Accounts

To access certain features of the Platform, you may be required to register for an account. When creating an account, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your account information
  • Maintain the confidentiality of your login credentials
  • Accept responsibility for all activities that occur under your account
  • Notify us immediately of any unauthorized access or use of your account

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we believe have been compromised. You may not share your account credentials with third parties or allow others to access the Platform using your account.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform in any way that violates applicable local, state, federal, or international law or regulation
  • Transmit any unsolicited or unauthorized advertising or promotional material
  • Attempt to gain unauthorized access to any part of the Platform, server, or database
  • Interfere with or disrupt the integrity or performance of the Platform
  • Introduce viruses, trojans, worms, or other malicious or technologically harmful material
  • Scrape, data-mine, or otherwise extract data from the Platform without our express written consent
  • Impersonate or misrepresent your affiliation with any person or entity
  • Use the Platform to store or transmit infringing, libelous, or otherwise unlawful content
  • Reverse engineer, decompile, or disassemble any portion of the Platform

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision.

6. Intellectual Property

The Platform and its entire contents, features, and functionality - including but not limited to all software, text, displays, images, graphics, logos, and the design, selection, and arrangement thereof - are owned by smartBook Technologies LLC, its licensors, or other providers and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

These Terms grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your intended personal or business purposes. You must not reproduce, distribute, modify, create derivative works of, publicly display, or otherwise exploit any part of the Platform without our prior written consent.

You retain ownership of any data or content you submit to the Platform ("User Content"). By submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to use, store, and process that content solely to provide and improve the Platform.

7. Privacy & Data

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to the collection, use, and disclosure of your information as described in our Privacy Policy.

We are committed to protecting your data and comply with applicable United States federal and Illinois state privacy laws, including the Illinois Personal Information Protection Act (PIPA) and, where applicable, the federal Gramm-Leach-Bliley Act. We implement reasonable technical and organizational measures to safeguard your information against unauthorized access, loss, or disclosure.

Residential users of mysmartbookhome.com should be aware that home inventory data - including asset records, valuations, photographs, and personal documents - is stored securely and is never shared with third parties except as necessary to deliver the Platform's services or as required by law.

We do not sell your personal information to third parties. We may share data with trusted service providers solely to the extent necessary to operate the Platform.

8. Payment & Subscriptions

Certain features of the Platform may be offered on a subscription or fee basis. If you elect to subscribe to a paid plan:

  • All fees are quoted and charged in United States dollars (USD) unless otherwise stated
  • Subscriptions renew automatically at the end of each billing period unless cancelled
  • You authorize us to charge your designated payment method for all applicable fees
  • Fees paid are non-refundable except as required by applicable law or as expressly stated in a separate agreement
  • We reserve the right to modify our pricing with reasonable notice to existing subscribers
  • Failure to pay may result in suspension or termination of your access

All prices are exclusive of applicable taxes. You are responsible for any federal, state, or local taxes, duties, or levies imposed on your use of the Platform.

9. Disclaimers & Warranties

The Platform is provided on an "as is" and "as available" basis without any warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, smartBook Technologies LLC disclaims all warranties, including but not limited to:

  • Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Platform will be uninterrupted, error-free, or free of harmful components
  • Warranties regarding the accuracy, reliability, or completeness of any content on the Platform

We do not warrant that any errors or defects will be corrected, or that the Platform or the servers that make it available are free of viruses or other harmful components. Asset valuations, inventory estimates, and any financial or property-related data generated by the Platform are provided for informational purposes only and do not constitute professional appraisal, legal, financial, or insurance advice.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall smartBook Technologies LLC, its members, managers, officers, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

  • Loss of profits, revenue, data, or business opportunities
  • Costs of substitute goods or services
  • Damages arising from unauthorized access to or alteration of your data
  • Loss based on reliance on asset valuations, lease data, or inventory records generated by the Platform
  • Any other matter relating to the Platform

Whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

In no event shall our total aggregate liability exceed the greater of (a) the amounts paid by you to smartBook Technologies LLC in the twelve (12) months preceding the claim, or (b) one hundred US dollars (USD $100).

11. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice, including if we reasonably believe you have violated these Terms.

You may terminate your account at any time by contacting us using the information in Section 14. Upon termination:

  • Your right to access and use the Platform will immediately cease
  • We may delete your account and User Content after a reasonable retention period
  • Provisions that by their nature should survive termination will survive, including intellectual property rights, disclaimers, and limitations of liability

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions.

Any dispute arising out of or in connection with these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the state and federal courts located in the State of Illinois. You hereby irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts.

If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

13. Changes to Terms

We reserve the right to revise and update these Terms at any time at our sole discretion. All changes are effective immediately upon posting and apply to all access and use of the Platform thereafter.

We will make reasonable efforts to notify registered users of material changes - for example, by posting a notice on the Platform or sending an email to your registered address. However, it is your responsibility to review these Terms periodically.

Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
